These Terms of Use (“Terms”) govern your access to and use of tisdaleadvisory.com (the “Site”), which is owned and operated by TAG LLC, doing business as Tisdale Advisory Group (“TAG,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
1. Purpose of the Site
The Site provides general information about TAG, our advisory services, our experience, and our publications and insights. The Site also allows visitors to contact us about potential engagements.
Site content is provided for general informational purposes only. It is not legal, financial, accounting, tax, investment, human-resources, cybersecurity, or other regulated professional advice. You should consult an appropriately qualified professional before acting on information that may affect your legal rights, finances, personnel, systems, or operations.
2. No Client or Professional Relationship
Your use of the Site, submission of a contact form, or communication with TAG does not create a client, consulting, fiduciary, confidential, or other professional relationship. TAG accepts an engagement only through a separate written agreement signed by authorized representatives of TAG and the client.
Do not submit confidential, classified, privileged, proprietary, export-controlled, financial-account, health, Social Security, or other sensitive information through the Site. Information sent before an engagement is established may not be treated as confidential unless TAG expressly agrees otherwise in writing.
3. Eligibility and Lawful Use
You may use the Site only if you are legally able to agree to these Terms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You agree to use the Site only for lawful purposes and in accordance with these Terms.
4. Prohibited Conduct
You may not:

Attempt to gain unauthorized access to the Site, its hosting environment, accounts, data, or related systems;

Interfere with the Site’s operation, security, performance, or availability;

Introduce malware, malicious code, automated attacks, or harmful material;

Use bots, scrapers, or automated tools to copy or extract Site content except as permitted by applicable law or our written authorization;

Impersonate another person or misrepresent your identity, affiliation, or authority;

Submit false, misleading, unlawful, infringing, threatening, or abusive material; or

Use Site content to build, train, or improve a commercial artificial-intelligence or machine-learning system without our written permission.
5. Intellectual Property
The Site and its content—including text, graphics, logos, branding, designs, photographs, videos, publications, downloads, methods, and other materials—are owned by TAG or used with permission and are protected by intellectual-property laws.
TAG grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your own lawful, noncommercial informational purposes. You may not reproduce, modify, distribute, sell, license, publish, publicly display, create derivative works from, or otherwise exploit Site content without prior written permission, except for brief quotations with appropriate attribution or as otherwise permitted by law.
“Tisdale Advisory Group,” “TAG,” our logos, and related branding may not be used in a manner that suggests endorsement, affiliation, or sponsorship without our written permission.
6. Communications and Submissions
You are responsible for the accuracy and legality of information you submit through the Site. By sending an inquiry, you authorize TAG to use the information to review and respond to your message and for the other purposes described in our Privacy Policy.
We are not obligated to respond to, retain, or act on any submission. Do not send unsolicited creative concepts, proprietary methods, or confidential business information. Except for personal information governed by our Privacy Policy, unsolicited ideas may be used or disclosed by TAG without restriction or compensation.
7. Third-Party Services and Links
The Site is hosted on Wix and may contain links to third-party websites, publications, platforms, or services. Third parties are responsible for their own content, availability, security, and practices. A link does not imply TAG’s endorsement or control. Your use of third-party services is governed by their terms and policies.
8. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TAG DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TAG does not warrant that the Site will be uninterrupted, error-free, secure, or free from harmful components; that defects will be corrected; or that Site content is complete, current, accurate, or suitable for a particular purpose. Your use of and reliance on the Site are at your own risk.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TAG AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, TAG’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain warranty exclusions or limitations of liability, so portions of this section may not apply to you.
10. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TAG and its owners, officers, employees, contractors, and agents from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person’s rights.
11. Separate Client Agreements
Consulting and advisory services are governed by the applicable proposal, statement of work, master services agreement, or other written client agreement. If these Terms conflict with a signed client agreement concerning paid services, the signed client agreement controls for those services.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. Subject to applicable law, any dispute arising from or relating to the Site or these Terms must be brought in a state or federal court located in Georgia, and you consent to the personal jurisdiction of those courts.
13. Changes, Suspension, and Termination
We may revise these Terms by posting an updated version on the Site. The “Last updated” date shows when the Terms were most recently revised. Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms.
We may modify, suspend, restrict, or discontinue any part of the Site at any time. We may also restrict or terminate access for conduct that we believe violates these Terms, applicable law, or the rights or safety of TAG or others.
14. General Terms
If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a reorganization, merger, acquisition, or transfer of our business.
These Terms and our Privacy Policy constitute the entire agreement between you and TAG concerning use of the Site, except for any separate written agreement governing TAG services.
